Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Logixr Corp, doing business as HolosLabs ("HolosLabs," "we," "us," or "our"), governing your access to and use of the HolosCognitive application, website, APIs, and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
2. Description of Service
HolosCognitive is a cognitive scaffold platform that uses artificial intelligence, biometric telemetry, and clinical frameworks to assist users with task management, capacity tracking, and burnout prevention. The Service operates across five operational tracks: Personal, Family, Teams, Education, and Enterprise.
The Service is not a medical device. HolosCognitive does not diagnose, treat, cure, or prevent any disease or medical condition. The Logixr Allostatic Load Index (LALI) assessments, somatic state tracking, and Sanctuary Mode features are informational tools only and do not constitute medical advice. Always consult a qualified healthcare professional for medical decisions.
3. Eligibility
You must be at least 13 years of age to use the Service. Users under 18 require parental or guardian consent. Education track accounts for minors must be provisioned by a parent, guardian, or authorized educational institution. We comply with COPPA and applicable child protection regulations.
4. Account Registration & Security
You must provide accurate, complete information when creating an account. You are solely responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use.
We reserve the right to suspend or terminate accounts that violate these Terms, exhibit fraudulent activity, or pose a risk to other users or the Service.
5. Subscription & Billing
HolosCognitive offers tiered subscription plans (Personal, Family, Teams, Education, Enterprise) with monthly recurring billing. All plans include a 14-day free trial. Payment is processed securely through Stripe (web), Apple App Store (iOS), or Google Play (Android).
Auto-renewal: Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date. You may cancel at any time through your account settings or the applicable app store.
Refunds: Refund eligibility is governed by the payment platform's policies (Stripe, Apple, or Google). We do not offer direct refunds except where required by applicable law.
Price changes: We reserve the right to modify subscription pricing with 30 days' advance notice. Existing subscribers will be notified via email before any price change takes effect.
6. Intellectual Property
The Service, including all software, algorithms, designs, trademarks, and content, is owned by Logixr Corp and protected by intellectual property laws. "HolosLabs" and "HolosCognitive" are trade names and trademarks of Logixr Corp.
You retain ownership of all data, goals, tasks, and content you create within the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive license to process your User Content solely for the purpose of providing and improving the Service.
7. AI-Generated Content
The Service uses artificial intelligence (Google Gemini) to generate cognitive scaffolds, task breakdowns, and recommendations. AI-generated outputs are suggestions only. You are solely responsible for evaluating and acting on any AI-generated content. We do not guarantee the accuracy, completeness, or suitability of AI outputs.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGIXR CORP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless Logixr Corp, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.
10. Termination
Either party may terminate this agreement at any time. You may delete your account through Settings. Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days of account deletion, except where retention is required by law or for legitimate business purposes (e.g., audit trails required for ISO 9001 compliance).
11. Governing Law & Disputes
11.1 Governing Law: These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict of law principles.
11.2 Exclusive Venue: You and Logixr Corp agree that any judicial proceeding to resolve claims relating to these Terms or the Service will be brought exclusively in the federal or state courts of Harrison County, Iowa. Both parties consent to the exclusive personal jurisdiction and venue of the Harrison County Courthouse, located at 111 N 2nd Ave, Logan, IA 51546.
11.3 Class Action Waiver: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND LOGIXR CORP AGREE THAT ANY PROCEEDING TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER PARTY WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY OTHER REPRESENTATIVE PROCEEDING.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
